Parties. This undertaking is between GVB Geomatics Private Limited (“GVB”; principal place of business S31A/27, 28, DLF Phase 3, Gurgaon, India 122002) and the reviewing authority — the Office of the Commissioner & Directorate of Municipal Administration (C&DMA), Government of Andhra Pradesh, and its authorised officers accessing this portal (“Recipient”).

This portal is provided solely for authorised technical review and concurrence of the Ongole Urban GeoAI Proof-of-Concept by the C&DMA Department (GIS Cell / IT Directorate), in connection with the IndiaAI evaluation. It is a DRAFT evaluation environment — not a final deliverable and not an acceptance of results.
The contents of this portal — map layers, attributes, dashboard, visual outputs, methodology, and all derived outputs — are Confidential Information proprietary to GVB, disclosed in confidence for this evaluation. (Confidential Information may include business methods, processes, inventions, computer programs, technical information and related material.)
For three (3) years from the date of access, the Recipient shall not disclose the Confidential Information to any contractor or third party without GVB’s prior written approval, and shall protect it with no less than reasonable care. The Recipient shall ensure its officers, employees and agents with access are bound by these terms, and shall promptly notify GVB of any disclosure in breach, or of any legal process requiring disclosure. This obligation survives termination of access.
All Confidential Information remains the property of GVB. Nothing here grants or confers any rights, licence, or intellectual-property interest in GVB’s AI pipeline, models, methods, or derived layers. Viewing these results is permission to evaluate, not to copy, reuse, reverse-engineer, or redistribute. (Formal IP arrangements, if any, are addressed separately in the MoU / IP instrument.)
On GVB’s request the Recipient shall promptly return or destroy all copies and notes of Confidential Information. The Parties agree GVB would suffer irreparable injury from unauthorised disclosure and that GVB may seek injunctive relief and damages from a court of competent jurisdiction.
These obligations do not apply to information that: (a) was already known to the Recipient without a confidentiality obligation; (b) is or becomes public through no wrongful act of the Recipient; (c) is independently developed without reference to the Confidential Information; (d) is approved for release by GVB; or (e) is disclosed pursuant to the lawful requirement of a court or government agency, or as required by operation of law (including applicable transparency/RTI obligations).
Nothing here constitutes an agency, partnership, joint venture, or similar relationship.
The AI-detected building footprints, land-use labels, change indications, and discrepancies shown here are candidates for field verification by the Department — not authoritative determinations and not findings of unauthorised construction. Certified accuracy is not yet established (independent validation is a gated next step). Detections are image-aligned and may differ from the cadastre by a few metres; the register remains the authoritative record.
This undertaking is interim and superseded by the executed Mutual NDA / Technical Evaluation MoU once that is signed between GVB and the Department. Accepting it does not waive, delay, or replace that formal agreement.
